Messenger service pop-ups occur as a result of a system feature - a part of Windows XP being exploited by adware folks.
It is completely safe to disable this Messenger service (no relation with MSN messenger) as it is now never going to be used by Microsoft to send important system/network information.

[Heh, unless you *were* talking about MSN messenger! In which case, go into the options of the thing and deselect load on windows startup - it's some option like that anyway.
