Neither the Secretary of State nor the State bar offer "canned" bylaws. I've been practicing here since '89 and found both to be minimally helpful at best.

You should be sure that you have provided the maximum allowable indemnity language under state law with respect to officers and directors. You should also consider making sure that you can take action by consent or in a telephonic meeting, as allowed by state law. The general form available from the website does not always provide for the differences in state law between 50 states. You should always provide the escheat provisions from the constitution with respect to the general fraternity.

You need to consider the needs of your group and the locations of your alumni as you draft the bylaws. The set available on the website is old and does not consider the distances that alumni move away from their chapters.

The SS-4 form, for an employer identification number, is available and fileable on line at the Internal Revenue Service website.
